

I. Meetings
Section 1
The annual meeting will occur in the spring of each year.Section 2
Special meetings may be called by the Chair of the Wayne College Alumni Association Board or at the request of a majority of the Wayne College Alumni Association Board.Section 3
Any number of persons present shall constitute a quorum at any annual or special meeting.Section 4
All members of the Wayne College Alumni Association Board must attend 60% of the regularly scheduled Board meetings to be a member in good standing and remain on the Board
II. Board Member Election
Section 1
A nomination committee of four will be appointed by the Chair of the Wayne College Alumni Association and will include the Chair, one retiring Board member, one non-retiring Board member, and one non-Board member of the Association.Section 2
The nomination committee will prepare a slate of candidates to fill the open positions for approval by two-thirds of a quorum of the Board at its meeting prior to the annual meeting.Section 3
All members are encouraged to make their interest to run for office known to the nominating committee so that they may be considered for nomination.Section 4
The slate will be ratified by the membership in attendance at the annual meeting.
III. Officers
Section 1
The Chair of the Wayne College Alumni Association may serve an optional second term. A majority vote of the Board may release the Chairperson from the option of a second term if necessary.Section 2
The term of office for each officer is two years. An officer appointed to fill a vacancy assumes office upon appointment. Officers serve until the end of their term until a successor is appointed, or unless they resign or are removed from office.Section 3
The Chair, Chair-elect attain office by succession from the previous office with final approval of the Board. A majority vote by the Board shall elect the Secretary/Treasurer.
